Genuine Adirondack Vendor Code of Ethics and Business Conduct
As a Genuine Adirondack Vendor and a member of the Genuine Adirondack community it is incumbent upon Vendors to have a business value system that is consistent with this Code.
It is the policy of the Genuine Adirondack to provide our Code of Ethics and Business Conduct, which will serve as a guide to proper business conduct for all Vendors. We expect all Vendors to observe the highest standards of ethics and integrity in their conduct. This means following a basic code of ethical behavior that includes the following as well as full compliance with Genuine Adirondack’s Vendor Terms and Conditions.
B. Build Trust and Credibility
The success of Genuine Adirondack is dependent on the trust and confidence we earn from our website users, customers and the general public. We earn credibility by adhering to our commitments, displaying honesty and integrity and reaching goals solely through honorable conduct.
When considering any action, you should ask: Will this build trust and credibility for my business and Genuine Adirondack? Will it help create a community in which Genuine Adirondack can succeed over the long term? Is the commitment I am making one I can follow through with? The only way we will maximize trust and credibility is by answering “yes” to those questions and by working every day to build trust and credibility.
C. Respect for Individuals
We all deserve be a part of an environment where we are treated with dignity and respect. Genuine Adirondack is committed to creating such an environment because it brings out the full potential in each of us, which, in turn, contributes directly to the success of the entire community.
Genuine Adirondack is committed to providing a community that is free of discrimination of any and all types, from abusive, offensive or harassing behavior of any kind. Any Vendor who feels harassed or discriminated against should report the incident directly to us. We are committed to investigate and take action as necessary.
D. A Culture of Open and Honest Communication
In Genuine Adirondack everyone should feel comfortable to speak their mind, particularly with respect to ethics concerns. Vendors have a responsibility to be open and honest with consumers, their fellow Vendors and Genuine Adirondack personnel.
Genuine Adirondack will investigate all reported instances of questionable or unethical behavior. In every instance where improper behavior is found to have occurred, Genuine Adirondack will take appropriate action. We will not tolerate retaliation against any Vendor who raises ethics concerns in good faith.
E. The Tone from the Top
Genuine Adirondack has the added responsibility for demonstrating, through its actions, the importance of this Code. In any business, ethical behavior does not simply happen; it is the product of clear and direct communication of behavioral expectations, modeled from the top and demonstrated by example. Again, ultimately, actions are what matters.
II. Code of Ethics and Business Conduct
To make this Code work, Vendors must be responsible for promptly addressing ethical questions or concerns raised by users and purchasers and for taking the appropriate steps to deal with such issues. Vendors should not consider ethics concerns as threats or challenges to their authority, but rather as another encouraged form of business communication. We want the ethics dialogue to become a natural part of daily interactions.
A. Uphold the Law
A Vendor’s commitment to integrity begins with complying with laws, rules and regulations where they do business. Further, each Vendor must have an understanding of the Genuine Adirondack policies. If a Vendor is unsure of whether a contemplated action is permitted by law or Genuine Adirondack policy, they should look into it and, in the case of legal issues ask advice from a lawyer or, in the case of Genuine Adirondack policy questions, contact Genuine Adirondack directly.
B. Compliance with the Vendor Terms and Conditions
All Vendors are responsible for being in full compliance with the Vendor Terms and Conditions. Those Terms require adherence to criteria which are foundation to the mission of Genuine Adirondack.
This is a community with community values. Vendors must be dedicated to ethical, fair and vigorous competition. Vendors will facilitate the marketing of Genuine Adirondack products and services. Vendors will make independent pricing and marketing decisions and will not improperly cooperate or coordinate their activities with competitors. Vendors will not offer or solicit improper payments or gratuities in connection with the purchase of goods or services or the sales of its products or services, nor will they engage or assist in unlawful boycotts of particular Vendors or customers.
Vendors will not offer products or services at lower prices outside of the website than the same product or service they have listed within the website.
D. Proprietary Information
It is important that Vendors respect the property rights of others. Vendors will not acquire or seek to acquire improper means of a competitor’s trade secrets or other proprietary or confidential information. Vendors will not engage in unauthorized use, copying, distribution or alteration of any intellectual property including but not limited to designs of products offered for sale or the mechanisms, methods and technology Genuine Adirondack employs within its website(s).
E. Selective Disclosure
Vendors will not selectively disclose (whether in one-on-one or small discussions, meetings, presentations, proposals or otherwise) any material nonpublic information with respect to Genuine Adirondack, its business operations, plans, financial condition, results of operations or any development plan. Vendors should be particularly vigilant when making presentations or proposals to users or purchasers to ensure that their presentations do not contain material nonpublic information.
F. Avoid Conflicts of Interest
Vendors must avoid any relationship or activity that might impair, or even appear to impair, their ability to make objective and fair decisions when performing their work. Vendors owe a duty to Genuine Adirondack to advance its legitimate interests when the opportunity to do so arises. Vendors must never use Genuine Adirondack property or information for personal gain or personally take for themselves any opportunity that is discovered through their Vendor status with Genuine Adirondack.
Determining whether a conflict of interest exists is not always easy to do. Vendors with a conflict of interest question should seek advice from legal professionals and Genuine Adirondack administration staff before engaging in any activity, transaction or relationship that might give rise to a conflict of interest.
G. Accepting Business Courtesies
Most business courtesies offered to us in the course of being affiliated with Genuine Adirondack are offered because of your positions as Vendors. You should not feel any entitlement to accept and keep a business courtesy. Although you may not use your position to obtain business courtesies, and you must never ask for them, you may accept unsolicited business courtesies.
Compliance with these principles is an essential element in our business success. You are responsible for ensuring these principles are communicated to and understood and observed by you and all of your employees and independent contractors. Compliance with the code is subject to review by Genuine Adirondack. Vendors and consumers are expected to bring to Genuine Adirondack’s attention any breach or suspected breach of these principles. Provisions are in place for reports to be made in confidence.
From time to time, Vendors and consumers will likely have questions as to how this Code of Ethics and Business Conduct applies in particular situations. We expect all persons with such questions to discuss the exact circumstances with Genuine Adirondack.
